1. Acceptance of Terms

By accessing or using the LUNA AI receptionist service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

LUNA provides AI-powered receptionist services for healthcare practices, including but not limited to:

• Automated phone answering and call handling
• Appointment scheduling and management
• Patient intake and information collection
• SMS and email communications
• Integration with practice management systems

3. Account Registration

To use LUNA, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Transmit any malicious code or harmful content
• Use the Service to send spam or unsolicited communications
• Misrepresent your identity or affiliation

5. Healthcare Compliance

If you are a healthcare provider or handle protected health information (PHI):

• You must execute a Business Associate Agreement (BAA) with LUNA
• You are responsible for ensuring your use complies with HIPAA and applicable laws
• You must implement appropriate access controls within your organization
• You agree to report any suspected breaches promptly

6. Fees and Payment

You agree to pay all fees associated with your selected plan. Fees are:

• Billed monthly in advance unless otherwise specified
• Non-refundable except as required by law or stated in these Terms
• Subject to change with 30 days notice

Failure to pay may result in suspension or termination of your account.

7. Intellectual Property

The Service, including all software, content, and trademarks, is owned by LunaPhone.AI LLC. You are granted a limited, non-exclusive license to use the Service for its intended purpose. You may not copy, modify, distribute, or reverse engineer any part of the Service.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You retain ownership of your data. By using the Service, you grant us a license to process your data as necessary to provide the Service.

9. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will provide notice when reasonably possible.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "as is" without warranties of any kind
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the fees paid in the 12 months preceding the claim
• We are not responsible for actions taken based on AI-generated responses

11. Indemnification

You agree to indemnify and hold harmless LunaPhone.AI LLC from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

Either party may terminate this agreement with 30 days written notice. We may suspend or terminate your account immediately if you violate these Terms. Upon termination, your right to use the Service ceases, and we may delete your data after a reasonable retention period.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Cook County, Illinois.
